- 24/7 emergency support unless specifically contracted
Service Availability: We strive to maintain service availability but do not guarantee uninterrupted access. Scheduled maintenance and unforeseen technical issues may cause temporary service interruptions.
User Obligations
Acceptable Use
When using our services, you agree to:
- Provide accurate and timely information required for project completion
- Respond to communications within reasonable timeframes
- Make timely payments according to agreed schedules
- Respect intellectual property rights
- Comply with all applicable laws and regulations
Prohibited Activities
You may not:

- Share login credentials or access with unauthorized parties

Payment Terms
Payment Schedule
Unless otherwise agreed in writing:
- Project deposits are due upon contract signing
- Progress payments are due according to project milestones
- Final payment is due upon project completion
- Monthly retainer fees are due by the 1st of each month
Late Payments
Late Payment Policy:
- Payments are considered late after 15 days past due date
- Late fees of 1.5% per month may be applied to overdue amounts
- Work may be suspended for accounts more than 30 days overdue
- We reserve the right to seek collection for severely delinquent accounts
Refund Policy
Refunds are available under the following conditions:
- Service cancellation within 7 days of contract signing (minus any work completed)
- Failure to deliver services as specified in the contract
- Mutual agreement to terminate the project
- Refunds do not include work already completed or third-party costs incurred
Intellectual Property
Client Content Rights
You retain ownership of:
- Your business name, logos, and trademarks
- Content you provide (text, images, videos)
- Business processes and proprietary information
Our Rights
We retain ownership of:
- Our proprietary development methods and processes
- Code frameworks and templates we've developed
- Our business name, branding, and marketing materials
Work Product
Custom Development: Upon full payment, you receive full ownership of custom code developed specifically for your project, excluding our proprietary frameworks and tools.
License Grant: We grant you a perpetual, non-exclusive license to use any of our proprietary tools or frameworks included in your project.
Limitation of Liability
Important Legal Notice:
Our liability is limited to the amount paid for services. We are not liable for indirect, incidental, special, or consequential damages including lost profits, data loss, or business interruption.
Service Warranties
We warrant that:
- Services will be performed with professional skill and care
- Delivered work will substantially conform to agreed specifications
- We have the right to provide the contracted services
Disclaimer
Except as expressly stated, all services are provided "as is" without warranties of any kind.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Termination
Termination by Client
You may terminate services with 30 days written notice. You remain responsible for:
- Payment for all work completed
- Any third-party costs incurred
- Early termination fees if specified in your contract
Termination by Company
We may terminate services immediately if:
- You breach these terms
- Payment is more than 30 days overdue
- You engage in prohibited activities
- Continuing the relationship is not feasible
Effect of Termination: Upon termination, you will receive all completed work and source files. We will return or destroy confidential information as requested.
Governing Law
These Terms and Conditions are governed by the laws of [Your State/Country]. Any disputes will be resolved through:
